When a project fits your paths, we share the brief under NDA and agree a statement of work.

The partner terms

Before we start

  • NDA firstA mutual NDA is signed before any client or project details are shared.

It protects your information and our clients', and stays in force after a project ends.

  • Partner agreementOne agreement sets the ground rules for working together.

It covers confidentiality, ownership, liability, and how either side can end the partnership.

  • Independent status and taxPartners run their own business and handle their own taxes.

Before the first payment we ask for a W-9 in the US, or a W-8BEN or W-8BEN-E outside it.

  • InsuranceSome projects need professional liability or cyber liability cover.

The statement of work says when cover is needed, and we ask for the certificate before work starts.

On every project

  • Statement of workEach project gets its own scope, milestones, acceptance and rate.

Nothing starts until both sides have signed it, and changes are agreed in writing.

  • Confidentiality and dataClient data is used only for the project it was shared for.

Access is limited to the people who need it, and removed when the project ends.

  • No subcontracting without approvalWork isn't passed to anyone else without our written approval.

Anyone approved works under the same terms.

  • PaymentInvoices follow the statement of work's milestones, paid net 30.

Unless the statement of work sets different terms.

  • Standards and conductThe quality and accessibility we promise clients, and honest dealing.

No bribes or kickbacks, and equal opportunity for everyone who works on our projects.

Ownership and relationships

  • Client-owned workWork made for a client project passes to Mayrian or the client once it's paid for.

Tools and code you owned before the project stay yours; the statement of work says how they may be used.

  • Non-solicitationYou don't approach clients we introduced you to for your own work.

During the partnership and for 12 months after it.

  • No guarantee of workApproval adds you to our partner network.

We reach out when a project fits your paths and your availability.
